Consignment agreement

This agreement is between ________________, ________________ (the Shop), and ________________ (the Consignor).

1. Items

The Consignor leaves the items on the attached item list with the Shop, to be sold on the Consignor's behalf. The Consignor confirms that they own the items and are free to sell them.

2. Agreement period

Each item is offered for sale for 90 days from the day the Shop receives it.

3. Prices and markdowns

The Shop sets the selling price of each item, taking the Consignor's wishes into account.

If an item has not sold after 30 days, its price is reduced by 20% of the original price.

If an item has not sold after 60 days, its price is reduced by 40% of the original price.

4. The Consignor's share

For each item sold, the Consignor receives 40% of the price the customer actually pays, after any discounts and excluding sales tax or VAT and shipping. The Shop keeps the rest as its commission.

5. Payment

A sale becomes payable once the Shop's return period of 14 days has passed. The Shop pays the Consignor once a month, by cash, check, bank transfer or store credit, with a statement of the items each payment covers.

If a customer returns an item after the Consignor has been paid for it, the Shop deducts that amount from the Consignor's next payment.

6. Unsold items

When the agreement period for an item ends, the Consignor may collect it within 7 days.

Items not collected by then are donated to charity by the Shop.

7. Care of items

The Shop takes reasonable care of the items while they are in its possession and tells the Consignor promptly if an item is lost or damaged.

8. Withdrawing items

The Consignor may take back unsold items before the end of the agreement period by giving the Shop reasonable notice.

What a consignment agreement should cover

A good agreement answers the questions consignors ask later, before they ask them:

  • Who owns the items, and that the consignor is free to sell them.
  • How long items stay for sale.
  • Who sets prices, and whether and when they drop.
  • The split, and that it's worked out after discounts.
  • When and how consignors are paid, and what happens with returns.
  • What happens to items that don't sell, and by when they must be collected.

Questions

Is this consignment agreement legally binding?

A signed agreement is a contract in most places, but the rules differ by country and state. Use this template as a starting point and have a local lawyer check it, especially the parts on loss, damage and unclaimed items.

Do I need a new agreement for every drop-off?

Usually not. Many shops sign one agreement per consignor and attach a dated item list to each drop-off. The item list at the end of this template is for that.

Can I change the wording?

Yes. Copy the text into your word processor and adjust it. The generator gives you a clear, complete starting point, not a fixed form.
